Matrix provides web - based services to and on behalf of client hirers and employment agencies, and on behalf of individual workers, for temporary and permanent worker placements, and on behalf of clients and professional service providers for the requisitioning of professional services ( “Services” ) . These terms govern your use of our sites, which may also be available to you as a customer and form part of our contract with you.

We do not guarantee that our site will be secure or free from bugs or viruses.

Our site is only for users in the United Kingdom

We provide Services to client hirers, employment businesses, professional service providers, workers and those requisitioning professional services in the United Kingdom. This site is not intended for use in other jurisdictions and we do not represent that the content on our sites or use of them to engage workers or seek the provision of professional services is applicable outside the United Kingdom.

Account , Password and Security

Where our Services require you to register for a user account Matrix will provide you with a secure user ID for you to use the site and access our platform either for yourself or on behalf of your organisation. In order to complete the registration process for an account you will need to provide current, complete and accurate information. Your ID is personal to you and should not be shared with anybody else, even those within your organisation. All information used to access the site as an individual user should be treated as confidential.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

You must notify Matrix immediately if you know or suspect that your login details have been compromised or are being used by somebody else.

No Prohibited or Unlawful Use

As a condition of your use of Matrix’ software via this site and the Services made available to you, you will not use the Services for any purpose that is unlawful or prohibited by these terms or any other notices on the site. You may not use the Services in any manner that could damage, disable, overburden, or impair the platform or any network(s) to which the platform is connected, or interfere with any other party's use of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks via use by you of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. You may not attempt to copy or change, alter, or otherwise attempt to modify the Services or these terms.

Content and Rights of Use

All content included in or made available via this site in the form of Services or otherwise such as software, documents, agreements, icons, logos, data and images is the exclusive property of Matrix and is protected by copyright, trademark and other intellectual property rights both within the United Kingdom and internationally ( “Content “ ). All rights not expressly granted to you in these terms are reserved and retained by Matrix.

Prohibited Use Classes/ Acceptable Use

You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any Services provided via our site. This includes using (or permitting, authorising or attempting the use of):

· Any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the site or any data, content, information or services accessed via the same.

· Any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.

The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of Digital Copyright Directive ((EU) 2019/790).

The Services contain e-mail services, chat areas, and/or other message or communication facilities designed to enable you to communicate with Matrix and with agency suppliers, commercial service suppliers, client hirers, and client service users. You agree to use the Services when communicating with other users only to post, send and receive messages which are proper in relation to your use of the Services for the purpose of temporary and permanent worker placements, professional service provision or requisition and ancillary matters.

By way of illustrative and not exhaustive example you agree that you will not:

Use the Services in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise).

Defame, abuse, harass, threaten or otherwise transgress the rights of others.

Publish, post, upload, distribute or disseminate any inappropriate, defamatory, obscene, indecent, or unlawful topic, name, material, or information.

Upload, or otherwise make available, files that contain images, photographs, software, or other material protected by intellectual property laws unless you own or control the rights thereto or have received all necessary consent to do the same.

Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.

Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another.

Harvest or otherwise collect information about others, including e-mail addresses.

Violate any applicable laws or regulations.

Use, download or otherwise copy, create or provide to a person or entity any directory of users of the Services in whatever constellation or form or other user or usage information or any portion thereof.

Access to other sites and content

Should you access other sites from our website we are not responsible for the content of any such third- party site.

Content and User-Generated Content

Client users, suppliers of professional services, individual workers and Matrix users may add content to this site. All such content must comply with these terms and you indemnify us for any breach of this warranty. Where Matrix includes documents, agreements, user guides, documentation, agreements, service descriptions and any other content for use by site users all such content remains the property of Matrix and subject to these terms. Where users of the Services upload content onto the site as part of their use of the services all such content becomes the property of Matrix to include the underlying rights in the information and data and Matrix may use any such content at its absolute discretion subject always to any rights of confidentiality and in compliance with the Data Protection Legislation in force in the United Kingdom from time to time.

Where any content uploaded by you is in breach of a third party’s intellectual property rights or their rights in data or to privacy you indemnify Matrix for any and all losses arising from that breach.

Matrix reserves the right to delete any content uploaded onto any of its sites by anyone using the Services either where such content is in breach of these terms, where required to do so in accordance with any relevant laws or in its absolute discretion having regard to Matrix’ needs to run its businesses.

 

Limitation of Liability

Matrix shall not be liable for any special, indirect or consequential loss or damages or any damages whatsoever resulting from loss of data, loss of use, loss of profits or loss of business arsing out of or in connection with the use or performance of Matrix’ platform and any use of the Services.

Matrix does not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

Matrix hereby excludes all implied conditions, warranties, representations or other terms that may apply to our sites or any content on them.

Matrix will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

use of, or inability to use, our sites or any parts of them.

  • In particular, we will not be liable for:
  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or

Applicable Law

These terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
